Terms of Service

Effective date: August 19, 2026

These Terms of Service (the "Terms") govern your access to and use of the website located at jdwit.com (the "Site") and the information technology products, services, and support provided by JDW IT LLC ("JDW IT," "we," "us," or "our"). By accessing the Site, requesting a quote, or engaging our services, you ("you," "your," or the "Client") agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

1. Our Services

JDW IT provides information technology services that may include remote and on-site support, network and Wi-Fi setup, Microsoft 365 administration, security and backup solutions, and related consulting (collectively, the "Services"). The specific Services provided to you, along with their scope, deliverables, and fees, will be described in a separate quote, proposal, or service agreement (each, a "Service Agreement"). If any term of a signed Service Agreement conflicts with these Terms, the Service Agreement controls for that engagement.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use our Services. If you use the Services on behalf of a business or other organization, you represent that you are authorized to bind that entity to these Terms.

3. Quotes, Fees, and Payment

Fees for the Services are set out in the applicable Service Agreement. Unless stated otherwise, quotes are valid for 30 days and estimates are provided in good faith but are not guarantees of final cost. Invoices are due upon receipt unless another due date is specified. We may suspend or decline Services for accounts with past-due balances, and overdue amounts may accrue late charges to the extent permitted by law. Except where required by law or expressly stated in a Service Agreement, fees already paid are non-refundable.

Accepted payment methods include credit and debit cards, bank transfer (ACH), PayPal, Venmo, cash, and check. Card and electronic payments are processed by PayPal, a third-party payment processor; JDW IT does not receive, transmit, or store your full payment card number. Applicable Mississippi sales tax will be calculated and itemized separately on your invoice. If you believe a charge is incorrect, you agree to contact JDW IT before initiating a chargeback or payment dispute so the matter can be addressed directly.

4. Client Responsibilities

To allow us to perform the Services effectively, you agree to provide accurate information, timely access to relevant systems, equipment, accounts, and premises, and the cooperation of appropriate personnel. You are responsible for maintaining valid licenses for your software, for ensuring you have the authority to grant us access to your systems and data, and for backing up your data as described in Section 7. Delays or additional work caused by inaccurate information or lack of access may affect timelines and cost.

5. Appointments and Cancellations

Scheduled appointments, whether remote or on-site, should be cancelled or rescheduled with reasonable advance notice. Missed appointments or late cancellations may be subject to a fee as described in the applicable Service Agreement. We will make reasonable efforts to meet requested timeframes but do not guarantee specific response or resolution times unless a service-level commitment is expressly stated in your Service Agreement.

6. Third-Party Products and Services

Our Services may involve third-party hardware, software, cloud platforms, and services (for example, Microsoft 365 and other vendors). Your use of those products is governed by the applicable third party’s terms and licenses, and JDW IT is not responsible for the acts, omissions, availability, or performance of third-party products or services. We do not make warranties on behalf of any third party, and any manufacturer or vendor warranties pass through to you subject to their terms.

7. Data, Backups, and Security

While we take reasonable care in performing the Services and may provide backup and security solutions, no security measure or backup system is completely secure or infallible. Unless a specific backup or data-protection service is expressly included in your Service Agreement, you are responsible for maintaining current backups of your data. You agree that, to the maximum extent permitted by law, JDW IT is not liable for the loss, corruption, or unauthorized access to data except to the extent directly caused by our gross negligence or willful misconduct. We will handle personal information in accordance with our Privacy Policy.

8. Acceptable Use

You agree not to use the Site or Services to violate any law; to infringe the intellectual property or privacy rights of others; to transmit malicious code, spam, or unlawful content; to gain unauthorized access to any system or network; or to interfere with the operation of the Site or Services. We may refuse, suspend, or terminate Services used for any prohibited purpose.

9. Intellectual Property

The Site and its content, including text, graphics, logos, and the JDW IT name and marks, are owned by or licensed to JDW IT and are protected by intellectual property laws. You may not copy, reproduce, or create derivative works from the Site’s content without our prior written permission. Any configurations, documentation, or deliverables we create for you are licensed to you for your internal business use as described in the applicable Service Agreement; we retain ownership of our pre-existing tools, methods, and know-how.

10. Disclaimer of Warranties

Except as expressly stated in a signed Service Agreement, the Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or Services will be uninterrupted, error-free, or free of harmful components, or that any particular result will be achieved.

11. Limitation of Liability

To the maximum extent permitted by law, JDW IT and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to the Site or Services, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Services will not exceed the amount you paid to JDW IT for the specific Services giving rise to the claim during the three (3) months immediately preceding the event that gave rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless JDW IT and its owners, employees, and contractors from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Services, your violation of these Terms, your violation of any law, or your infringement of any third-party right.

13. Confidentiality

Each party may have access to the other’s confidential information in the course of an engagement. Both parties agree to use such information only as needed to perform under the Service Agreement and to protect it from unauthorized disclosure, except where disclosure is required by law. This obligation survives the end of the engagement.

14. Termination

Either party may terminate an engagement as described in the applicable Service Agreement. We may suspend or terminate your access to the Services immediately if you breach these Terms or fail to pay amounts when due. Upon termination, you remain responsible for any fees incurred through the effective date of termination, and any provisions that by their nature should survive termination will survive.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" above and post the updated Terms on this page. Your continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Mississippi will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to venue in those courts.
